1) Site Conditions, Code Compliance & “Not for Construction”

Our plan sets are created without reference to your specific site, jurisdiction, or construction team. You must engage a local licensed architect or engineer and consult your builder to adapt the plans for:

  • local codes, ordinances, zoning, and permitting requirements (state/county/municipal and other applicable authorities), and
  • site-specific conditions (soil, frost depth, snow/wind/seismic loads, flood, wildland–urban interface, utilities, etc.).

For this reason, Dwelly plan sets are marked “NOT FOR CONSTRUCTION.” We assume no responsibility if our plans are used for construction without local adaptation and professional review. Any such use is at your sole risk.

2) Architect/Engineer of Record

Many jurisdictions require a local architect or engineer of record to review and sign/seal/stamp plan sets prior to permit. You are responsible for engaging the appropriate professional(s) in your project’s jurisdiction to review and sign/seal/stamp as required.

3) Licensure Statement

Although our plans are prepared by our architectural team and may be engineered by third-party structural consultants, we do not represent that our team is licensed in your jurisdiction. Local adaptation and local professional involvement are required.

4) Code Variability & Required Modifications

While our plans reflect widely adopted residential codes (e.g., IRC concepts), code adoption and amendments vary by state, county, and municipality. Modifications will likely be required to comply with local code and site factors. You’re responsible for obtaining all permits and inspections.

Condition of Use: We authorize use of Dwelly plans only if you consult your builder and engage a local licensed architect or engineer prior to construction, and strictly comply with all applicable codes, zoning, laws, and regulations.

5) Sustainability Disclaimer

We embed sustainability principles into our designs, but we do not warrant achievement of any specific sustainability, “green,” or certification outcome (e.g., Passive House, LEED, ENERGY STAR, HERS). Results depend on factors outside our control (owner operations, contractor workmanship, product substitutions, authority interpretations, etc.).

6) Construction Means & Methods

We do not control or supervise construction. We are not responsible for means, methods, techniques, sequences, procedures, jobsite safety programs, or a contractor’s failure to follow the plans.

7) Warranty Disclaimer

WE MAKE NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING OUR DESIGNS OR PLANS, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Your use is at your own risk.

8) Limitation of Liability

To the fullest extent permitted by law, our total aggregate liability to you and to any of your design professionals, consultants, and contractors shall not exceed the amount you paid to Dwelly for the plan(s) at issue.

9) Copyright & License to Use

All Dwelly designs, plans, drawings, files, images, specs, and related content are protected by U.S. and international copyright laws. Purchase grants you a limited, non-exclusive, non-transferable license to use the purchased plan to construct one (1) single-family dwelling (stick-built) at one (1) site (the “License to Build”).

  • The license does not transfer any ownership or copyright to you; Dwelly retains all intellectual property rights in the originals and in all copies and derivatives, in any format.
  • You may not resell, redistribute, sublicense, publish, or share the plans (in whole or part), except as necessary to complete your single permitted build (e.g., sharing with your local design professional, builder, or permitting authority for the single permitted project).
  • Study Sets (or “Planning/Study Set”): Provided strictly for preliminary evaluation and pricing. No license to build is granted. Study Sets are NOT FOR CONSTRUCTION. Recreating the plan in whole or part without purchasing a License to Build is prohibited.

10) Electronic Files & Data Integrity

If we provide electronic files (e.g., PDF, CAD, BIM), post-transmission risks (software/version differences, user error, hardware issues) are outside our control. We are not liable for discrepancies once files have been transmitted to systems outside our control.

11) Personal Liability Shield

To the fullest extent permitted by law, no officer, director, member, manager, principal, employee, agent, or consultant of Dwelly shall have personal liability for any matter relating to this Purchase Agreement or related professional services.

12) No Third-Party Beneficiaries

Our plan license and these Terms benefit only you (the purchaser). There are no third-party beneficiaries.

13) Digital Goods: Delivery, Returns & Refunds

  • Delivery: Digital plan products are delivered by email as secure links as soon as reasonably possible after purchase.
  • All Sales Final (Digital): Because digital files cannot be returned, all digital sales are final. If you believe you were charged in error (e.g., duplicate purchase), contact hello@studiodenden.com.

If Dwelly offers physical goods in the future, a separate shipping/returns section will apply.

14) Attribution (Optional but Appreciated)

If you share your Dwelly-based project publicly (website, social, press), we appreciate a credit such as “Design by Dwelly” and a link to hellodwelly.com.

15) Governing Law, Venue & Dispute Resolution

These Terms of Purchase are governed by the laws of the State of New York, without regard to conflicts of laws principles.

Arbitration. Any dispute arising out of or related to these Terms or your purchase shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration will be conducted in New York, New York. Class actions are waived—claims must be brought individually.

Small Claims Exception. Either party may bring an individual claim in small claims court if eligible.

Injunctive Relief for IP. We may seek injunctive relief in court for actual or threatened infringement/misappropriation of intellectual property rights.

1) Acceptance of Terms

By accessing hellodwelly.com or using our Services, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Site.

2) Intellectual Property & Site Content

All content on the Site (text, images, graphics, videos, drawings, docs, downloads, trademarks) is owned by or licensed to Dwelly and protected by law. We grant you a limited, revocable, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not copy, modify, distribute, publicly display, create derivatives, or exploit the content without our written consent (except as permitted under your purchased License to Build for a single project and for required permit/build purposes).

3) Accounts & Conduct

You must be 18+ and provide accurate information. Safeguard your credentials; you’re responsible for all activity on your account. You may not:

  • impersonate others;
  • interfere with the Site;
  • reverse engineer the Site;
  • infringe IP;
  • upload malware or harmful code;
  • violate laws or these Terms.

Feedback you provide may be used by Dwelly without obligation to you.

4) Third-Party Content & Services

We may link to or integrate third-party services (e.g., payment processors, analytics). We do not control and are not responsible for third-party sites, content, or practices. Your use of third parties is at your own risk and may be governed by their terms and privacy policies.

5) DMCA / Copyright Complaints

Dwelly respects IP rights. If you believe content on our Site infringes your copyright, send a DMCA notice to:

Your notice must include all information required by 17 U.S.C. §512(c)(3), including identification of the copyrighted work, the allegedly infringing material (URL/screenshot), your contact info, and the required good-faith and perjury statements with a physical or electronic signature.

6) Terms of Sale (Summary)

Product descriptions and pricing may change. We may limit or cancel orders. Digital plan sales are final. Taxes are your responsibility. Products are for your personal use and single-build license unless you obtain a developer/multi-build license from Dwelly.

7) Disclaimers; Service Interruptions

The Site and all content are provided “AS IS” and “AS AVAILABLE.” We do not warrant uninterrupted or error-free operation. Downloads are at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including non-infringement, merchantability, and fitness for a particular purpose.

8) Limitation of Liability

To the fullest extent permitted by law, Dwelly is not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability relating to the Site, Services, or products will not exceed the amount you paid for the product(s) at issue or, if unrelated to a product, $100.

9) Indemnification

You agree to indemnify and hold Dwelly and its officers, members, employees, and agents harmless from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, violation of these Terms, or infringement of third-party rights.

10) Termination

We may modify, suspend, or terminate the Site (or your access) at any time. Sections intended to survive (IP, licenses, disclaimers, limitations, indemnity, dispute resolution) survive termination.

11) Changes to Terms

We may update these Terms from time to time. Updates are effective upon posting. Your continued use constitutes acceptance.
